1. General Provisions

These Terms and Conditions (hereafter referred to as the "Terms") establish a binding legal contract between U Z O Portal, registered with the registration number 996224, and headquartered at 2902 Marina Plaza, Dubai Marina, Al Marsa St, Dubai, Level 27-29, DUBAI, UNITED ARAB EMIRATES (hereafter referred to as "UZO", "we", "us", or "our"), and you, an individual user residing within the European Union or any United Nations member state (hereafter referred to as "you", "your").

Platform Operator: U Z O Portal, with registration number 996224 and registered office at 2902 Marina Plaza, Dubai Marina, Al Marsa St, Dubai, Level 27-29, DUBAI, UNITED ARAB EMIRATES

European Legal Representative: UPV Group a.s., with registration number 09939407 and registered office at Na Folimance 2155/15, Vinohrady (Prague 2), 120 00 PRAGUE, CZECH REPUBLIC.

These Terms outline the rules and regulations governing your access to and use of the following:

1. The website located at https://www.uzo.com, along with any other websites owned or controlled by UZO or any portions thereof (collectively, the "Website")
2. Our mobile application, “UZO” (the “App”, together with the Website and any resources, features, functionality, or services made available through the Website and/or App, also referred to as the “Platform”),
3. Content found on the Website and/or App (the “Content”), and
4. Customer support concerning the Content (including refunds).

Before utilizing the Platform or registering an account, we encourage you to thoroughly review these Terms and our Privacy Policy, accessible at https://www.uzo.com/en/legal-informations/privacy-policy. By using our services or registering on the Platform, you agree to be bound by these Terms and acknowledge that you have read and understood our Privacy Policy.

UZO reserves the right to update or discontinue the Platform (or any part thereof) in response to technological advancements or other factors. Furthermore, UZO retains the right to amend the Terms at any time; however, such amendments will only apply to future transactions on the Platform and will not impact your ongoing use of the Platform.

If you do not consent to these or any subsequent Terms, we kindly ask that you refrain from using (or continuing to use) the Platform. UZO may also provide additional services or features subject to separate terms and conditions at its sole discretion. Should you have any inquiries or concerns, please do not hesitate to contact UZO Support at support@uzo.com.

2. UZO's Role in Transactions with You

UZO serves as a platform for sellers who adhere to UZO's policies to list and sell specific goods. UZO does not function as a seller of goods showcased on the Site. When placing an order on the Site, you enter into a purchasing agreement directly with a seller, not with UZO. Any rights you may possess regarding a purchased product are solely against the sellers from whom you acquired the product and not against UZO.

All sellers featured on the Site are merchants (legal entities or their equivalents under the laws governing them). As a result, EU consumer protection laws or the legislation of other countries apply to you and your contract with the seller.

Please be aware that UZO has no control over the quality, safety, morality, or legality of any aspect of products, the truth or accuracy of product listings, or the ability of sellers to sell products – sellers are ultimately responsible for such aspects.

You can find the contact information of the seller from whom you purchased or intend to purchase a product in the product card. The seller is solely accountable for the validity and accuracy of the contact details they display in product cards. If you cannot reach the seller using the provided contact information, please notify us at support@uzo.com.

UZO operates as a commercial agent for sellers within the parameters established in their agreement, including the authority and rights to negotiate and finalize transactions on behalf of sellers via the Site, determine the final price for products listed on the Site, and (at UZO's sole discretion) aid sellers in receiving and processing buyer refund and warranty claims. UZO does not serve as a commercial agent for you.

Please note that the price at which a product is offered to you may be personalized based on an automated decision-making process and may therefore differ from prices presented to other users.

UZO does not offer payment services - it simply acts as an agent for sellers for the purpose of receiving payments on behalf of sellers and disbursing the amounts owed to sellers concerning transactions carried out by you and sellers on the Site. UZO has the authority to select the payment service providers ("PSP") responsible for performing all necessary actions related to payment, acceptance, acquisition, processing, and servicing of payments associated with transactions between sellers and you. UZO reserves the right to appoint any number of PSPs.

You may be entitled to request a chargeback. A chargeback generally refers to a reversal of the payment made by you, either in whole or in part, by the card issuer upon your request or the request of an acquirer/other payment service provider according to the relevant payment scheme rules.

UZO is financially accountable for chargebacks to sellers and, for this purpose, resolves chargeback-related disputes between customers (cardholders) and sellers. Consequently, chargebacks related to customers and linked to fraud risks will be investigated by UZO and payment service providers in line with their mutual contractual obligations.

Your payment obligation to a seller is considered fulfilled from the moment UZO (or its PSP, as applicable) receives the payment. UZO (through its PSP, as applicable) is then responsible for transferring the funds to sellers as stipulated by the agreements between UZO, the seller, and the PSP. If UZO (through its PSP) does not transfer any such amounts to a seller, the seller's recourse will be only against UZO (or its PSP, as applicable) and not you directly.

UZO accepts your payments on behalf of the Seller and we also undertake to refund any monies to which you may be entitled on behalf of the Seller. It is primarily for the Seller to decide whether there is a legitimate claim for a refund. However, in certain limited circumstances, we may decide to refund and claim this amount back from the Seller. Your payment will be processed by U Z O Portal or the EU legal representative of UPV Group Inc. and will be forwarded by us to the relevant Vendor(s) in settlement of your debt to the individual Vendor(s) for purchases you have made through the Service. These guidelines may be amended from time to time, with or without notice to you. You acknowledge and agree that these guidelines will form an integral part of these Terms of Use.

3. Termination

UZO reserves the right to terminate your access to the Site and/or your registration privileges if you breach these Terms or violate any law (e.g., infringements of our or third party's intellectual property rights, using a stolen credit card for payments on the Site, or violating other laws). If UZO terminates your usage rights, UZO will still retain the right to exercise any additional rights and legal remedies in case there are claims, damages, awards, costs, and/or liabilities due to or associated with your breach or violation.

If you believe UZO has breached any of its obligations (either those outlined in these Terms or those mandated by law), you also have the right to terminate these Terms by canceling your registration on the Site.

4. Privacy

To understand our practices regarding the collection, usage, disclosure, and protection of data about you (commonly referred to as personal data), please consult our Privacy Policy at https://www.uzo.com/en/legal-informations/privacy-policy. For any privacy-related requests or additional information, please contact us at privacy@uzo.com.

5. Requirements for the Information You Post or Display

As a user, you agree that any information you post or display shall:

1. Be true, accurate, complete, and lawful,
2. Not be false, misleading, or deceptive,
3. Not contain information that is defamatory, libelous, threatening, harassing, obscene, objectionable, offensive, sexually explicit, or harmful to minors,
4. Not contain information that is discriminatory or promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age,
5. Not violate these Terms and Privacy Policy.

6. Your Obligations

As a user of the Site, you agree to:

1. Use the Site in compliance with these Terms and applicable law. This means that your activities on the Website or in the App must not contradict any applicable laws and regulations.
2. Inform UZO before completing an order if you are acting as a business entity rather than a consumer. By default, we consider you to be a natural person and consumer in accordance with the purpose and operation of the Site.
3. Provide accurate and valid delivery addresses. We rely on this information to ensure that taxes and duties are correctly calculated and applied. The delivery address you provide must be the location where you receive the product and where the shipment of the product ends. By placing an order on the Site, you confirm that the address provided by you is complete, valid, and accurate.
4. Refrain from defrauding any person or entity by using the Site (e.g., using stolen credit/debit cards).
5. Avoid misrepresenting yourself or your affiliation with any person or entity (e.g., registering on the Site under another person's name or using someone else's credentials).
6. Refrain from engaging in spamming or phishing activities of any kind.
7. Not copy, reproduce, exploit, or expropriate Content or the Site and/or its various proprietary components, directories, databases, and listings.
8. Not introduce any computer viruses, other destructive devices, methods, or technologies, including codes and botnets, which can damage, interfere with, intercept, or expropriate any software or hardware system, data, or personal information.
9. Not engage in any scheme that undermines the integrity of the data, systems, or networks used by UZO and/or the Site, or gain unauthorized access to such data, systems, or networks.
10. Not access, use, or attempt to copy, reproduce, exploit, or expropriate our API unless authorized by UZO for a specific purpose.

7. Communication

If consent is required under the law applicable to you, by accepting these Terms, you grant us permission to contact you via email (if provided), mobile phone (if provided), or other methods through the Site, including push notifications.

We will send you notifications related to Site usage, security, or other Site-related issues, as well as promotional messages. You can change your communication preferences at any time by adjusting your personal settings or by sending a request to privacy@uzo.com. Please note that you cannot opt-out of receiving service messages from us, including security and legal notices, as these notices are not of a marketing nature.

UZO reserves the right, but not the obligation, to monitor, decline, edit, or remove all or part of any postings, submissions, or content that violates these Terms.

By using the Site or communicating with UZO or others through your access to the Site, you consent to receive communications from UZO, including emails, texts, or messages on social networks, and other online, mobile, or conventional methods as they exist now or may exist in the future. You also agree not to misuse the communication tools available through your access to the Site, including spamming, spoofing, sending unsolicited commercial or other messages, and otherwise sending content that violates these Terms.

8. Ownership

The Site, along with all its components and features, Content, and all intellectual property rights included in or associated with it, such as patents, copyrights, trademarks, service marks, logos, and know-how, are either owned by UZO or owned by third parties and licensed to us. All rights, title, and interest in and to the items listed in this paragraph remain with us or our licensors. Furthermore, you may not remove or alter any copyright, trademark, or other intellectual property or proprietary rights notice, or legend contained on the Website, App, or in the Content.

You must not access the Site by any means other than through the Site (i.e., the interface UZO provides via the Site).

Please refrain from using any part of UZO's intellectual property or content: your use of the Site or any part of it does not grant you any right, license, or permission of any kind to reproduce or use such UZO's intellectual property and/or content.

9. Consequences of Your Feedback and Content Submissions

UZO appreciates your feedback send through the designated email addresses for specific purpose. However, if you send, post, or embed on the Website, App, or any part of them:

• Any feedback, messages, or comments,
• Your creative or original concepts or ideas,
• Any content, data, text, photographs, graphics, or other materials, or
• Any confidential, proprietary, or other information (a "Submission"),

you represent and warrant to UZO that you are either the owner of the Submission or have the right to grant UZO the license set out below.

You agree that UZO shall not compensate you for any such license or Submission beyond the provided possibility to use the Site, that any such Submission will not be considered confidential or non-public once submitted to UZO, and that UZO alone is free to post or use all or any part of the Submission. If all or part of a Submission is posted or used via the Site, you agree that the Submission and its content become publicly available and can be used by others.

By providing a Submission to UZO via the Website, App, or otherwise, you:

• Agree not to make any Submission that violates these Terms in any way or includes Inappropriate content as defined below;
• Automatically grant UZO a worldwide, unlimited, irrevocable, transferable, assignable, sublicensable license to use the Submission and exercise all copyright, publicity, and other rights concerning any such Submission for the duration of the copyrights, including any legal extension, for any reason whatsoever; and
• Assume liability for any such use of the Submission via the Site, and indemnify and hold harmless UZO for any third-party claims against UZO arising out of such use of the Submission.

You also grant each user of the Site a worldwide, non-exclusive license to access your Submission through the Site, and to use, reproduce, collect, distribute, share, display, and perform such Submission as permitted through the Site and under these Terms, for the duration of the copyrights, including any legal extension, for any reason whatsoever.

10. Linking and Third-Party Content

The Site may contain links to third-party websites not under our control or operation. UZO or users may provide any such links only as a convenience. UZO is not responsible for or have control over the contents of any linked site or any link contained in a linked site. The Website and/or App may contain news, advertisements, content, image, and information published by various third-party providers. Use of any such third-party content may be conditioned upon such third party’s terms and conditions. You are solely responsible for protecting yourself, your device, and your systems from worms, viruses, Trojan horses, and any other harmful content.

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part where none exists, and you must not establish a link to our site on any website that is not owned by you. The website to which you are linking must comply in all respects with our content standards from time to time.

Our Site must not be framed on any other site, nor may you create a link to any part of our Site other than the home page. Otherwise, we reserve the right to withdraw linking permission without any notice at any time.

11. Copyright Infringement

We respect artist and content owner rights, and UZO carefully considers notices of any alleged infringements.

If you believe that your copyrighted work is copied in a way that constitutes copyright infringement and is accessible on UZO, please notify UZO’s copyright agent at copyright@uzo.com. When filing your report, please provide the following information:

• An electronic or physical signature of a person authorized to act on behalf of the copyright owner,
• Identification of the copyrighted work that you claim has been infringed,
• Identification of the material that is claimed to be infringing and where it is located on UZO,
• Information reasonably sufficient to allow UZO to contact you, such as your address, telephone number, and e-mail address,
• A statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law, and
• A statement, made under penalty of perjury, that the above information is accurate, and that you are the copyright owner or are authorized to act on behalf of the owner.

12. Ranking and Search Results

The Site provides you with the possibility to search for a particular product on the Site. If you specify keywords in the search query, you will be presented with the result that corresponds to your search request. The main parameters determining ranking can be found on the page with the search query field. The algorithm selects the most relevant product corresponding to your search query based on factors such as product name and description, category, different options, and country of origin.

The algorithm also considers factors like product popularity, number of reviews and ratings, your country, price, and your history on the Site to range the products from most relevant to less relevant. Among the search results, you may see products marked with an “AD” badge, indicating that the seller paid for higher ranking. The total number of “AD” products in search results will not exceed 40% of the total number of products chosen by the algorithm.

13. Sales, Custom and Taxes (including VAT)

We strongly encourage sellers and users to maintain good standing with respect to custom and value-added taxes and duties. Your purchases on the Site may be subject to specific sales, custom, or value-added taxes which will be applicable to your orders and shall be paid by you. When ordering via the Site, you act as an importer of goods and must fully comply with all laws and regulations of the country to which you order products.

Prices displayed on the Site include applicable VAT and other taxes. VAT and other taxes amounts may be adjusted after you specify the full address. Additional costs such as custom taxes may be applicable to your orders. Invoices will be either automatically generated or provided to you by sellers in a paper format. By making orders on the Site, you agree to receive the invoices electronically or via your account on the Site.

Different logistics providers, customs brokers, and other third parties may be involved in the delivery and customs clearance activities. By placing an order on the Site, you agree that such entities will provide the customs clearance services in your name and on your behalf as required by custom authorities. You will be responsible for paying all taxes associated with your activity in connection with the Site as applicable in your country of residence.

14. Guarantee

You are entitled under the legislation of your place of residence to the legal guarantee of conformity for the product received and legal warranty against hidden defects. This means that for a certain limited period of time, you have the right to request from the seller one of the following remedies: to repair the product, replace the product, reduce the price, or cancel the contract and get reimbursement of the price paid for the product in full.

In case a commercial guarantee (which needs to be more advantageous than the legal guarantees specified above) and after-sales services are offered by the seller, you will have the right to request the seller to provide you with such commercial guarantee under the conditions freely determined by the seller and provided in the product card of the ordered product. The legal warranties of conformity and against hidden defects apply independently of the commercial guarantee that may cover your product, as defined by the seller.

15. How to Purchase

Purchasing from the UZO website is simple:

1. Choose a product, pick a variant (color, size, bundle option),
2. Click "Add to cart",
3. Choose the quantity (default quantity is 1),
4. Click "Buy",
5. Click "Next",
6. Input your personal data and shipping information,
7. Check the data and confirm your order,
8. Input payment card data (card data is encrypted and processed by the bank's billing system).

Please note that the order making flow may be updated dynamically. When making payment, use the necessary payment services of the designated PSP. If you don't want to proceed with the available PSPs, cancel your order. The seller will receive your order information 2 hours after payment.

It typically takes 1-2 days for a seller to ship your order, although the exact shipment and delivery times will vary. If the seller does not dispatch the order within 10 calendar days, the order will be automatically cancelled, and the funds will be refunded within 14 calendar days.

16. Refund Terms. Withdrawal right

You are entitled to a full refund from the seller if:

• The product has not been delivered within the specified timeframe for reasons outside of your fault.
• Product quality is different from the specified product description on the Site.
• You decide to exercise your right for withdrawal.

UZO support team can help you and review the refund request within a limited period of time. To return the product, you should send it back to the seller. If the product is defective or wrong, you will be compensated for the documented costs of return by the seller. In other cases, you bear the costs of return.

You have the right to withdraw from the contract within 14 days without giving any reason. To exercise the right of withdrawal, contact UZO via suppport@uzo.com or the seller directly. If you withdraw from the contract, you will be reimbursed for payments made, including the costs of delivery (except supplementary costs), within 14 days from the day on which you informed UZO and the seller about your decision to withdraw.

You must send back the product to the seller within 14 days from the day you communicate your withdrawal. You will have to bear the direct cost of returning the product. You are only liable for any diminished value of the product resulting from handling beyond what is necessary to establish the nature, characteristics, and functioning of the product.

Exceptions to the right of withdrawal include custom-made or personalized products, products that are liable to deteriorate or expire rapidly, sealed products unsuitable for return due to health or hygiene reasons, products inseparably mixed with other products after delivery, unsealed audio or video recordings or computer software, and newspapers, periodicals, or magazines (excluding subscription contracts).

17. How to Request a Refund

To exercise the right of withdrawal/request refund, please email support@uzo.com for a refund. Please be specific about your reason for the refund.

The refunded amount will be transferred via PSP to the card you used to make your purchase. In case of exceptions (e.g., technical inability to process the refund via the same payment method, or expiration of your card), you will be asked to provide another card or your PayPal wallet details to proceed with the refund.

UZO aims to complete the refund process for valid claims within less than 14 days, with a usual processing time of 2-3 days.

18. Warranty Disclaimer and Limitation of Liability

Your use of the product is at your own risk. To the extent allowed under applicable law, UZO, its licensors, suppliers, and the seller disclaim all liability for any claims for product failures due to misuse, abuse, product modification, improper product selection, or non-compliance with applicable laws.

UZO does not exclude, limit, or suspend rights you have that cannot be legally limited or excluded. In particular, nothing in these Terms shall exclude liability for:

• Death or personal injury
• UZO's gross negligence
• The statutory warranty of the seller for hidden defects and the statutory warranty of conformity of products.

You may not assign, delegate, or transfer these Terms, your rights or obligations hereunder, or your account on the Site without UZO's prior written consent.

19. Choice of Law, Jurisdiction, and Dispute Resolution

These Terms and your use of the Site shall be interpreted in accordance with the laws of the United Arab Emirates, except for mandatory provisions of the law of your country of residence. EU residents have the right to file a claim via the online dispute resolution platform at https://ec.europa.eu/consumers/odr. Both parties agree to submit to the non-exclusive jurisdiction of the courts of the United Arab Emirates.

20. Dispute Notice

Before initiating any dispute or court proceedings, you and UZO each agree to first provide the other with a written Notice of Dispute containing a description of the problem, supporting information, and the specific relief sought. Attempts to resolve the Dispute should be made during the 45 days after the Notice of Dispute is given.
